Terms of Service

1. Acceptance of Terms

By accessing or using Book & Unlock (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Book & Unlock is a software-as-a-service platform that connects Acuity Scheduling with compatible smart lock systems (including TTLock and Sifely) to automatically generate and distribute time-limited access codes based on appointment bookings. The Service may also send SMS and email notifications to your clients on your behalf.

3. Accounts & Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Subscriptions & Billing

The Service is offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Subscription fees are non-refundable except as required by law. We reserve the right to change pricing with at least 14 days' notice.

A 7-day free trial is available to new accounts. At the end of the trial, your selected plan will begin billing automatically unless you cancel before the trial ends.

5. SMS Messaging

By enabling SMS notifications within the Service, you represent and warrant that:

  • You have obtained prior express written consent from each recipient to receive automated text messages related to their appointments and access codes.
  • You will maintain records of such consent and provide them to us upon request.
  • You will comply with all applicable laws governing SMS marketing and transactional messaging, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines.
  • You will not use the SMS feature to send unsolicited, unlawful, or harassing messages.

Recipients may opt out at any time by replying STOP to any message. You are solely responsible for ensuring that your use of the SMS feature complies with applicable law.

SMS delivery is provided by Twilio, Inc. Message and data rates may apply to recipients.

6. Your Responsibilities

You agree that you will not:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation
  • Attempt to gain unauthorized access to any part of the Service or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Share your account credentials with unauthorized parties
  • Use the Service to store or transmit malicious code
  • Reverse engineer or attempt to extract the source code of the Service

7. Third-Party Integrations

The Service integrates with third-party platforms including Acuity Scheduling, TTLock, Sifely, Twilio, Stripe, and others. Your use of those platforms is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Book & Unlock. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ACCESS CODES WILL BE GENERATED OR DELIVERED IN ALL CIRCUMSTANCES. SMART LOCK OPERATION DEPENDS ON THIRD-PARTY HARDWARE AND CONNECTIVITY OUTSIDE OUR CONTROL.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOK & UNLOCK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR ACCESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Book & Unlock and its affiliates, officers, agents, and employees from any claims, liabilities, damages, and costs (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including any claims related to your use of the SMS messaging feature.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may cancel your subscription at any time through the billing settings. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration or in a court of competent jurisdiction.

14. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
